STATE OF NEW HAMPSHIRE

In the Year of Our Lord Two Thousand Fifteen

AN ACT requiring certain charitable nonprofit corporations to provide certain information relative to board members.

Be it Enacted by the Senate and House of Representatives in General Court convened:

1 Board of Directors of Charitable Nonprofit Corporations. Amend RSA 292:6-a to read as follows:

292:6-a Board of Directors of Charitable Nonprofit Corporations.

I. In the interest of encouraging diversity of discussion, connection with the public, and public confidence, the board of directors of a charitable nonprofit corporation shall have at least 5 voting members, who are not of the same immediate family or related by blood or marriage. No employee of a charitable nonprofit corporation shall hold the position of chairperson or presiding officer of the board. This section shall not apply to those nonprofit corporations in existence on August 10, 1996, until one year after August 10, 1996, nor to any organization qualified as a private foundation under the applicable provisions of the United States Internal Revenue Code, nor to religious organizations, churches, or the integrated auxiliaries thereof or to conventions or associations of churches. The provisions of this section may be waived with the approval of the director of charitable trusts after application for such waiver.

II. A charitable nonprofit corporation that is required to file Internal Revenue Service Form 990 pursuant to 26 U.S.C. section 6033(a) and 26 C.F.R. section 1.6033-2 shall provide a complete and accurate list of the names, titles, and towns or cities of residence of the members of its board of directors on its website, updated within 60 days of any change to the composition of the board of directors, or, if the corporation has no website, upon request within 10 business days of the request.

III. The attorney general may impose an administrative fine of up to $1,000 upon a charitable nonprofit corporation that fails to comply with a request made by a member of the public under paragraph II.

2 Effective Date. This act shall take effect October 1, 2015.
