STATE OF NEW HAMPSHIRE

 

In the Year of Our Lord Two Thousand Seventeen

 

AN ACT relative to persons authorized to sign corporate documents.

 

Be it Enacted by the Senate and House of Representatives in General Court convened:

 

1  New Hampshire business Corporation Act; Execution of Documents.  Amend RSA 293-A:1.20, (f)(2) and (3) to read as follows:

(2)  if directors have not been selected or the corporation has not been formed, by an incorporator; [or]

(3)  if the corporation is in the hands of a receiver, trustee, or other court-appointed fiduciary, by that fiduciary; or

(4)  unless the operating agreement provides otherwise, by any authorized person, including an attorney-in-fact.  An authorization, including a power of attorney, need not be in writing, need not be sworn to, verified, or acknowledged, and need not be filed in the office of the secretary of state, but if in writing, must be retained by the corporation or authorized person.

2  Effective Date.  This act shall take effect 60 days after its passage.
